Terms & Conditions

Welcome to the professional portfolio and hospitality consultancy portal of Drs. Agustinus Agus Purwanto, SE MM LL.M CHA ("Consultant," "we," "us," or "our"). By engaging our services, requesting proposals, or entering into a service agreement, you ("Client," "you") agree to be bound by the following Terms & Conditions.

1. Scope of Services

The Consultant provides executive hospitality management, hotel consultancy, operational pre-opening frameworks, financial budgeting, and advisory services. Specific deliverables, scope, and project schedules will be defined in individual service contracts or proposals.

2. Executive Engagement & Minimum Retainer Fees

For direct retainers, executive advisory, or hiring engagements, the following minimum basic monthly salary tiers apply based on the operational location:

Note on Outside Bali Engagements: For projects or engagements outside Bali, the Client is responsible for providing suitable accommodation, airfare/transportation, and daily operational allowances prior to deployment.

 

3. Engagement Models & Specific Payment Terms

 

A. Feasibility Studies & Project Deliverables

For standalone project deliverables, such as Feasibility Studies, Operational Audits, or Financial Modeling:

  • Advance Down Payment: 55% of the total agreed project fee is payable upon signing the contract before project commencement.

  • Final Settlement: The remaining 45% balance is due immediately upon completion and prior to/upon delivery of the final study documents.

 

B. Hotel Management Agreements (HMA)

Engagements involving full or partial Hotel Management Services are governed by standard Hotel Management Agreement (HMA) terms, including:

  • Incentive and base management fee structures.

  • Specific operational KPIs, reporting frameworks, and term lengths as detailed in the executed HMA contract.

 

4. Payment Terms & Overdue Accounts

  • All payments must be made in Indonesian Rupiah (IDR) via direct bank transfer to the account designated in the official invoice.

  • Project initiation begins only after receipt and bank clearance of the required 55% advance down payment.

  • Deliverables remain the intellectual property of the Consultant until the total project fee is paid in full.

 

5. Intellectual Property Rights

All custom frameworks, financial budget models, pre-opening checklists, operational manuals, and feasibility reports developed by Drs. Agustinus Agus Purwanto, SE MM LL.M CHA remain his intellectual property. The Client is granted a non-exclusive, non-transferable license to use the delivered materials strictly for the designated property specified in the agreement.

 

6. Confidentiality

Both parties agree to hold in strict confidence all proprietary data, trade secrets, financial records, and operational strategies disclosed during the engagement. Confidential information shall not be shared with third parties without prior written consent.

 

7. Limitation of Liability

While services and feasibility studies are conducted with professional diligence using proven industry standards:

  • Advisory materials and feasibility forecasts are operational projections and do not guarantee future revenue or market performance.

  • The Consultant shall not be liable for indirect, incidental, or consequential damages resulting from operational decisions made by the hotel ownership or management team.

 

8. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising under or in connection with these terms shall be settled amicably, failing which they shall be submitted to the competent courts in Bali, Indonesia.
